Terms of Use
Effective September 6, 2026. These terms form a binding agreement between you and Armada Cyber Defense LLC, the operator of Sam Submit.
1. Acceptance of terms
These Terms of Use ("Terms") form a binding agreement between you and Armada Cyber Defense LLC ("Armada", "we", "us") governing your access to and use of samsubmit.com, the Sam Submit application, its features, any associated integrations or interfaces we make available, and related services (together, the "Service"). Our Privacy Policy and Cookie Policy are incorporated by reference.
If you use the Service for an organization, you represent that you have authority to accept these Terms on that organization's behalf, and "you" refers to both you and that organization. The organization is responsible for the acts and omissions of its authorized users. If you do not agree, do not use the Service.
2. Business use, eligibility, and accounts
You must be at least 18 years old and able to form a binding contract. The Service is intended primarily for business and professional use by government contractors and similar organizations. Accounts require a verified business email address, and sign up from public consumer email domains may be blocked unless an administrator grants an exception.
You are responsible for the accuracy of your account and organization information, for safeguarding your credentials and any API keys you configure, for the users you authorize, for organization membership, for all activity under your accounts, and for promptly reporting suspected unauthorized access.
Domain based verification is an anti abuse measure only. It does not establish, and we do not represent that it establishes, that a person has authority to act for the organization associated with an email domain.
3. Description of the Service
Sam Submit is a federal opportunity and response management platform. Depending on your plan, permissions, and configuration, the Service may include SAM.gov opportunity discovery and import; solicitation and attachment analysis; response type identification; company and business profile management; SBA DSBS and other public data import; Capability Statement creation; solicitation specific tailoring; Win Strategy and decision support; Estimated PWin; competitor, incumbent, and award intelligence; requirement registers; Compliance Check; response and proposal drafting; amendment monitoring and review; Submission Readiness; response and package generation; authorized email submission where available; guidance for external Government submission; a CRM covering pursuits, contacts, organizations, tasks, activities, and outcomes; team workspaces; external CRM integrations; and AI assisted functionality.
Armada may add, modify, improve, replace, or discontinue features, templates, rule libraries, and providers, subject to applicable contractual and legal obligations.
4. Government procurement disclaimer
Sam Submit is a private commercial service. Armada Cyber Defense LLC and Sam Submit are not SAM.gov, the General Services Administration (GSA), the Small Business Administration (SBA), the Department of Defense (DoD), APEX Accelerators, Florida International University (FIU), a Small Business Development Center (SBDC), a contracting agency, or a procurement authority, and are not affiliated with, sponsored by, endorsed by, or acting on behalf of any of them unless expressly stated in a signed writing.
Our use of Government data, terminology, forms, notices, APIs, links, or systems does not imply Government review, approval, or endorsement of the Service or of anything you produce with it.
5. Your responsibility in federal contracting
Sam Submit is a decision support and drafting tool. You remain responsible for deciding whether to pursue an opportunity; reading the official solicitation and all amendments; determining eligibility; verifying representations and certifications; verifying set aside eligibility; determining applicable NAICS and PSC codes; verifying pricing; verifying technical information; reviewing proposal content and forms; checking submission instructions; meeting deadlines; obtaining required signatures and approvals; completing Government registrations; submitting through the required Government systems; verifying successful Government receipt; and maintaining records required by law or contract.
The Service does not replace the official solicitation or amendment. If the Service's analysis or output conflicts with an official Government procurement document, the official Government document controls.
6. No guarantee of compliance, responsiveness, or award
Armada does not guarantee proposal compliance, responsiveness, eligibility, a responsibility determination, technical acceptability, Government acceptance, successful submission, award, the accuracy of an Estimated PWin, an evaluation score, contract value, protest outcome, registration, certification, or set aside qualification.
Compliance Check and Submission Readiness are decision support tools that evaluate a response against requirements and information the Service identified from the materials available to it. A green, passing, or Ready to Submit status is not a warranty that every solicitation requirement was identified, that the proposal is legally compliant, that the Government will consider it responsive, that a submission will be accepted, or that you will receive an award.
7. Submission Readiness
A status of "Ready", "GREEN", "Ready to Submit", or similar means that the readiness conditions the Service identified as applicable have been addressed based on the information available to it at that time. It does not mean Government approved, guaranteed compliant, guaranteed responsive, guaranteed complete, or guaranteed accepted.
You must perform your own final review of the response and package against the official solicitation and all amendments before submitting.
8. Response submission
Actions the Service performs. Where the solicitation permits it and the feature is available to you, the Service can transmit a response or package by email to a recipient you specify, and can share a package through an expiring download link.
External Government systems. Many submissions must be completed outside the Service in Government systems such as SAM.gov, PIEE, DIBBS, GSA eBuy, or agency specific portals. Opening or linking to an external portal from the Service is not a submission. You remain responsible for completing the submission in the required system and for verifying receipt.
Where the Service lets you record or confirm an external submission, that record reflects information you supplied. It is not independent verification by Armada unless expressly indicated.
Electronic transmission does not guarantee delivery, Government receipt, successful processing of attachments, acceptance, timeliness, or responsiveness. Verify receipt through the channel the solicitation specifies.
9. Deadlines and time sensitive information
Government procurement deadlines are often strict and unforgiving. You are responsible for independently verifying the due date, time, time zone, applicable amendments and extensions, the submission destination, and the required submission method against the official solicitation.
The Service may extract or display deadline information, but Armada does not warrant that displayed deadline information is complete, accurate, or current. Do not wait until a deadline is imminent to rely on any automated or assisted submission step.
10. Amendments
The Service may monitor, detect, import, compare, flag, and analyze solicitation amendments. Amendment detection depends on the availability and accuracy of external data sources, so you remain responsible for monitoring official Government sources.
Acknowledging an amendment in the Service does not mean the response content has been fully revalidated against it. Where the Service indicates that revalidation is required, complete that process before relying on the existing response. Review all amendments before submitting. The official amendment controls over the Service's interpretation of it.
11. Artificial intelligence
AI functionality may assist with solicitation analysis, requirement identification and classification, drafting, rewriting, summarization, strategy, Estimated PWin, competitor analysis, compliance analysis, document generation, and other supported features. AI processing is performed through commercial model provider APIs, and may run through provider credentials your organization configures. The Privacy Policy describes what information is transmitted and to whom.
AI generated or AI assisted output can contain errors, omissions, incorrect interpretations, outdated information, and unsupported conclusions. Certain features are designed to ground output in the data you supply or in authoritative public records, but Armada does not guarantee that AI generated content is accurate, complete, or error free. Similar output may be generated for other users. You must review and verify all output before using or submitting it.
Nothing produced by the Service constitutes legal, contracting, accounting, tax, or compliance advice.
12. Estimated PWin and strategy output
Estimated PWin, Win Strategy recommendations, prime, team, subcontract, joint venture, or no bid recommendations, competitive assessments, incumbent analysis, and similar outputs are estimates and decision support information. They are not guarantees, financial advice, legal advice, Government evaluations, or predictions of a source selection outcome.
Historical award and market information does not guarantee future results. Capture and business decisions remain yours.
13. Public and third party data
The Service may retrieve and process information from sources including SAM.gov, SBA DSBS, USASpending.gov, CPARS exports you supply, other Government and public sources, and integrations you configure. Armada does not control the completeness, availability, timeliness, or accuracy of that data.
Verify material information against the authoritative source. Outages, API limitations, rate limits, delayed updates, changed formats, and inaccurate source data are outside Armada's control.
14. CPARS information
You may upload CPARS evaluation exports only if you are authorized to access and use that information. The Service does not authorize you to access CPARS records you are not entitled to possess, and you are responsible for complying with all restrictions that apply to CPARS information.
Sam Submit does not request and will not accept your CPARS or Login.gov credentials, passwords, session cookies, or multi factor codes. Do not enter Government login credentials into the Service.
15. Restricted Government information
The Service is a commercial platform that has not been authorized or accredited to handle restricted Government information. You must not upload, enter, transmit, or process through the Service classified information, Controlled Unclassified Information (CUI), ITAR or export controlled technical data, Government credentials or passwords, information subject to handling requirements the Service is not authorized to meet, or other restricted Government information.
Armada does not claim FedRAMP authorization, CMMC certification, FISMA authorization, DoD authorization, or a Government Authority to Operate. You are responsible for determining whether particular information may lawfully and contractually be processed using the Service.
16. Organizations, team accounts, and administrators
The Service supports organization workspaces with multiple authorized members. Content in an organization workspace may be accessible to other authorized members according to the access level assigned to them, which controls whether they may view content, download statements, download proposals and packages, edit work, manage the team, manage organization settings, or manage billing.
Administrators may invite and remove members, change access levels, transfer the Primary Admin role, and manage applicable account settings. You must not invite individuals who are not authorized to access the organization's information, and you must protect confidential organization information. Administrators are responsible for maintaining correct access as personnel join, leave, or change roles.
Armada may rely on instructions from a person who appears to be an authorized administrator of an organization regarding that organization's account. Organization content belongs to the organization; an individual member does not acquire ownership or control of it contrary to the permissions in effect.
17. CRM and business contact data
You may store business contacts, Government contacts, organizations, notes, activities, tasks, pursuit information, and related records in the Service. You represent that you have lawful authority to collect and use the information you enter.
You are responsible for complying with applicable privacy laws, anti spam laws, procurement integrity requirements, agency communication rules, and your contractual obligations. The ability to store a contact or an email address in the Service is not permission to contact that person, and Armada does not authorize or endorse any outreach you conduct.
18. Third party CRM and other integrations
If you connect HubSpot, Salesforce, Zoho CRM, Microsoft 365, an outbound webhook endpoint, or another service, you are responsible for authorizing the connection, maintaining valid credentials, ensuring you have authority over the connected account, deciding what information is synchronized, and complying with the third party's terms.
Armada is not responsible for the operation, availability, modification, security practices, or data handling of independent third party services. Disconnecting an integration does not delete information already transmitted to that provider.
19. Your Content and the license you grant
"Your Content" means the business data, company profile information, solicitation materials you upload, proposal and response content, CRM records, documents, logos and images, instructions, pricing information, supporting files, and other materials you supply through the Service. You retain all ownership and rights in Your Content.
You grant Armada a limited, non exclusive, worldwide license to host, store, copy, process, analyze, transmit, render, generate from, display, secure, back up, and support Your Content solely to provide, operate, secure, and maintain the Service for you and your organization, including transmission to AI model providers, document rendering providers, and other service providers as needed to fulfill your requests. This license does not permit Armada to use Your Content to train Armada's own general purpose AI models, and it ends when Your Content is deleted, subject to the retention described in the Privacy Policy.
20. Generated output and your right to use it
Subject to these Terms, applicable third party rights, and an active subscription where one is required, you may use the documents and artifacts the Service generates for you, including Capability Statements, responses, proposal drafts, response packages, reports, and similar outputs, in your own business and federal contracting activities. Armada does not claim ownership of your final proposal or response.
Armada retains all rights in the Service itself, including its software, source code, platform, architecture, proprietary prompts and rule libraries, templates, workflows, design system, interfaces, documentation, trademarks, branding, and proprietary methodologies. Using an output does not transfer any ownership of the underlying platform or technology, and you receive only a limited, revocable, non transferable license to use the Service itself.
21. Your representations
You represent and warrant that the information you provide is accurate to the best of your knowledge; that you have the rights and authority to upload Your Content; that Your Content does not violate applicable law or third party rights; that certifications, socioeconomic statuses, and contract vehicles you claim are legitimate; that you will not knowingly use false past performance or fabricated Government qualifications; that you will comply with applicable procurement rules; and that you will not impersonate another person or organization.
22. Acceptable use
You agree not to use the Service unlawfully or to facilitate unlawful procurement activity; commit fraud, misrepresentation, impersonation, or false certification; upload malware or malicious files; probe or test security; bypass authentication; circumvent permissions, paywalls, or usage metering; scrape at abusive scale; use unauthorized automated access; interfere with the Service or its infrastructure; reverse engineer the Service except to the extent applicable law expressly prohibits that restriction; use another organization's information without authorization; attempt to access another tenant's data; resell, sublicense, or provide the Service as a service bureau without our written permission; or submit information this agreement prohibits.
Ordinary federal contracting research, ordinary use of the Service's features, and ordinary business use of documents you export are permitted and expected.
23. Subscriptions and billing
Building and previewing work in the Service is available without a paid plan. A paid subscription is required to download deliverables such as Capability Statement PDFs, proposals, and submission packages, and to use submission features. Current plan names, prices, billing intervals, included allowances, and features are shown on the subscriptions page and may be updated with notice for future billing periods.
Subscriptions are billed in advance through Stripe on a recurring basis, on a monthly or annual interval, and renew automatically until cancelled. By subscribing, you authorize Armada Cyber Defense LLC to charge your payment method according to these Terms until you cancel, with Stripe processing each charge. You may cancel at any time through the billing portal, and access continues through the end of the paid period. A short grace period may apply after cancellation or a failed payment so in progress work can be completed while status updates propagate. Continued failure to pay may result in suspension.
Upgrades, downgrades, and plan changes take effect as described at the time of the change. Fees are exclusive of taxes, which you are responsible for where applicable. The subscription belongs to the organization workspace, and its allowances are shared by the members of that organization.
24. Refunds
Except where required by applicable law, payments are non refundable and partial periods are not prorated.
25. Usage limits and fair use
Each plan includes defined allowances covering metered activity such as AI operations, response and proposal generation, Capability Statement PDF downloads, and package sends. Usage is metered and shown in your account, and per account daily caps apply to the heaviest operations so that one account cannot degrade the Service for others.
We may throttle, queue, or suspend requests that exceed your plan allowances, that place disproportionate load on the Service, or that appear automated or abusive. Where a plan provides for overage charges, those terms are shown with the plan.
26. Service availability and changes
Armada uses commercially reasonable efforts to keep the Service available, but does not warrant uninterrupted or error free operation. We may perform maintenance, updates, security fixes, feature changes, and infrastructure changes, which may cause temporary interruption. Outages or changes in Government systems and other third party services may affect functionality. No uptime commitment applies unless a separate written service level agreement expressly provides one.
27. Beta and experimental features
Features identified as beta, preview, experimental, or as part of machine learning model development may change, be withdrawn, produce incomplete results, or carry additional limitations. Where a machine learning model has not been validated against its baseline, the Service may fall back to its deterministic engine and label the result accordingly. Do not rely on such features as your sole basis for a business decision.
28. Security responsibilities
Armada maintains administrative, technical, and organizational safeguards as described in the Privacy Policy. You are responsible for securing your credentials, controlling organization membership, using appropriate devices and networks, protecting any API keys you configure, not sharing credentials improperly, and promptly reporting suspected unauthorized access to contact@armadacyberdefense.us.
No system can guarantee absolute security.
29. Backup, export, and records
The Service provides download and export functionality for generated documents and packages. You should maintain your own copies of business critical information and of anything you submit to the Government. Sam Submit is not your system of record for Government submissions and should not be relied on as your exclusive records management system. Armada does not promise recovery of deleted, overwritten, or corrupted items.
30. Suspension and restriction
Armada may suspend or restrict access when reasonably necessary because of a breach of these Terms, payment failure, fraud, a security threat, abusive use, a legal requirement, risk to other users or to the infrastructure, unauthorized use, or the presence of restricted Government information. Where commercially reasonable, we will provide notice and an opportunity to cure a non urgent issue. We may act immediately where there is a serious security, legal, fraud, or abuse risk.
31. Termination and what happens to data
You may stop using the Service at any time and cancel your subscription through the billing portal. On termination, access to the Service and to organization content ends, and subscription entitlements end at the close of the paid period.
Removing an individual member from an organization revokes that person's access but does not delete the organization's workspace or content, which belongs to the organization. Deletion of an organization workspace must be requested by an authorized administrator as described in the Privacy Policy. Content may persist in routine backups and in records we retain for legal, tax, security, and dispute resolution purposes, so deletion is not necessarily immediate or absolute.
Sections concerning Your Content license, intellectual property, representations, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution survive termination.
32. Third party services
The Service relies on independent third parties including payment processing, AI model providers, cloud hosting and database infrastructure, email delivery, document and PDF rendering, form handling, error and performance monitoring, customer configured CRM integrations, Government and public data services, and Government submission portals. Their availability, accuracy, and practices are outside our control and are governed by their own terms.
Links to external sites and systems do not constitute endorsement. Government portals are operated by the Government, not by Sam Submit.
33. Intellectual property
The Service, including its software, code, architecture, workflows, rule libraries, prompts, templates, design system, documentation, trademarks, logos, branding, and proprietary methodologies, is owned by Armada Cyber Defense LLC and protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you, and nothing in them transfers your rights in Your Content to us.
34. Feedback
If you voluntarily send us ideas, suggestions, feature requests, or product feedback, Armada may use that feedback to operate and improve the Service without obligation, attribution, or compensation. Content you upload to do your work, such as proposals, solicitations, and company data, is Your Content and is not feedback.
35. Intellectual property complaints
If you believe content in the Service infringes your intellectual property rights, email contact@armadacyberdefense.us with a description of the work, the location of the material, your contact information, and a statement of your good faith belief that the use is unauthorized. We will review the report and take action we consider appropriate, which may include removing content or suspending an account.
36. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service and all output are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
To the maximum extent permitted by applicable law, Armada does not warrant accuracy, completeness, availability, Government acceptance, award, compliance, uninterrupted or error free operation, error free AI output, or the accuracy of third party or Government data.
37. Limitation of liability
To the maximum extent permitted by applicable law, Armada Cyber Defense LLC and its officers, members, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost contracts, lost opportunities, missed procurement deadlines, rejected or non responsive proposals, loss of data, business interruption, procurement or capture decisions, the acts or omissions of third party services, reliance on AI generated output, or failures of Government portals or data sources.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims relating to the Service will not exceed the greater of one hundred United States dollars or the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that applicable law does not permit to be excluded or limited.
38. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Armada Cyber Defense LLC from third party claims, damages, liabilities, and expenses, including reasonable attorney fees, arising out of Your Content, your violation of these Terms, your unlawful use of the Service, infringement caused by content you supplied, your unauthorized use of third party information, false or misleading representations you supplied, or your misuse of Government or business information. This does not apply to claims arising from Armada's own misconduct.
39. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules.
40. Disputes, jury waiver, and class waiver
The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there. To the extent permitted by law, each party waives any right to a jury trial and any right to participate in a class or representative action.
41. Force majeure
Armada is not liable for delay or failure to perform caused by circumstances beyond its reasonable control, including Government system outages, Internet or infrastructure failures, cloud or provider outages, natural disasters, acts of Government, war or civil disturbance, labor disruptions, and cyber incidents not caused by Armada's failure to exercise the care required of it. This section does not excuse obligations that applicable law does not permit to be excused.
42. Export control and sanctions
You may not use the Service in violation of United States export control laws, economic sanctions, or other applicable trade restrictions, and you represent that you are not located in, or acting on behalf of a party in, an embargoed jurisdiction or on a restricted party list. The Service does not perform export control classification for you, and you remain responsible for that determination.
43. Assignment
You may not assign or transfer these Terms without our prior written consent, except where applicable law requires otherwise. Armada may assign these Terms in connection with a merger, reorganization, financing, sale, acquisition, or transfer of substantially all relevant assets, subject to applicable law.
44. Severability
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions remain in full effect.
45. Waiver
Our failure to enforce a provision is not a waiver of the right to enforce it later, and no waiver is effective unless made in writing.
46. Entire agreement and order of precedence
These Terms, together with the Privacy Policy, the Cookie Policy, and the subscription or order terms applicable to your plan, form the entire agreement between you and Armada regarding the Service and supersede prior understandings on that subject.
If you have a separately executed written agreement with Armada, such as a master services agreement, order form, or enterprise agreement, that agreement controls to the extent it expressly conflicts with these Terms, and these Terms govern everything the signed agreement does not address.
47. Changes to these Terms
We may modify these Terms. For material changes we will provide notice by email, in application notice, or website notice as appropriate, and will update the effective date above. Where applicable law requires affirmative consent to a change, we will obtain that consent rather than rely on continued use alone.
48. Electronic communications
You consent to receive communications from us electronically in connection with your account and the Service, including verification, security, billing, submission related, and service notices. These operational communications are part of the Service and cannot be turned off while you continue to use it. Optional product or marketing email includes an unsubscribe link and is separate from operational communications.
